Terms of Service

These Terms of Service ("Terms") govern your use of the Botopia website and the services provided by Botopia for Technology & Software ("Botopia", "we", "us"), a company registered in Egypt. By using our website or engaging our services, you agree to these Terms.

1. Our services

Botopia designs, builds and operates AI assistants, chatbots and business process automation. The specific scope, deliverables, timeline and fees for any engagement are defined in the proposal or agreement issued for that engagement, which takes precedence over these general Terms where they differ.

2. Quotations and payment

Quotations are valid for the period stated on them. Unless otherwise agreed in writing, work begins after acceptance of a quotation and any agreed advance payment. Recurring services (such as hosting, maintenance or message volumes) are billed as described in the relevant proposal.

3. Acceptable use

• You may not use our services to send spam or unsolicited bulk messages, or in violation of WhatsApp/Meta platform policies.
• You may not use our services for unlawful, deceptive or harmful purposes.
• You are responsible for the accuracy and legality of the content, catalogues and data you provide for use in your automations.

4. Intellectual property

Unless otherwise agreed in writing: you retain ownership of your data, content and brand materials; Botopia retains ownership of its pre-existing tools, frameworks and know-how; and upon full payment you receive the rights to use the deliverables built for you as described in your agreement.

5. Third-party platforms

Our services rely on third-party platforms such as the WhatsApp Business Platform, cloud hosting and AI model providers. We are not responsible for outages, policy changes or actions of those platforms, though we will work in good faith to adapt your automations when platforms change.

6. Warranties and liability

We provide our services with professional skill and care. Except as expressly agreed, services are provided "as is" and we do not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law, Botopia's total liability arising from any engagement is limited to the fees paid for that engagement, and we are not liable for indirect or consequential losses.

7. Termination

Either party may end an ongoing engagement as described in the relevant agreement. Fees for work already performed remain payable. Sections that by their nature should survive (such as intellectual property and liability) survive termination.

8. Governing law

These Terms are governed by the laws of the Arab Republic of Egypt, and any disputes are subject to the jurisdiction of the competent courts in Cairo.
